Terms of Service

These Terms of Service ("Terms") govern your access to and use of Atlas (the "Service"), operated by One Simplicity("Simplicity", "we", "us"), with offices at 3000 El Camino Real, Bldg 4 Ste 200, Palo Alto, CA 94306, USA and Sky Park Offices, Bottova 2A, 811 09 Bratislava, Slovakia. By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you represent that you can bind that company to these Terms.

1. The Service

Atlas helps commercial landlords and brokers find prospective tenants for retail spaces: it analyzes a space and its trade area, discovers and scores candidate tenants, and drafts outreach. Results are generated with the help of automated data pipelines and artificial intelligence and are provided for informational purposes only.

2. Accounts

You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms.

3. Subscriptions, renewal, and cancellation

• Paid plans are billed in advance on a recurring basis (monthly or annually). Your subscription renews automatically at the end of each billing period, and your payment method is charged the then-current plan price, until you cancel.
• You can cancel at any time from Account → Billing → Manage billing. Cancellation takes effect at the end of the current billing period; you keep access (and any included credits) until then. See our Refund Policy.
• Prices may change; we will notify you before a change affects your renewal.

4. Credits

• Each plan includes a number of credits per billing cycle. A tenant search and a “find more” sweep cost 1 credit each; unlocking a contact costs 3. Included credits expire at the end of the cycle in which they were granted and do not roll over.
• Additional credits purchased separately are valid for 12 months from purchase.
• If a search fails to complete on our side, the consumed credit is returned to your balance automatically.

5. Acceptable use

You agree not to:

• resell, scrape, or bulk-export the Service or its data without our written consent;
• use the Service to violate any law, or to harass or deceive any person;
• attempt to probe, disrupt, or overload the Service or circumvent usage limits;
• upload content you have no right to share.

6. Outreach and email compliance

Atlas drafts outreach messages and surfaces publicly available business contact information, but you send outreach from your own email account. You are solely responsible for your outreach complying with applicable law, including the CAN-SPAM Act (truthful headers and subject lines, your valid physical postal address, honoring opt-outs) and any state equivalents. Atlas does not send commercial email on your behalf.

7. AI-generated content and data accuracy

Tenant candidates, scores, market analyses, and chat responses are produced by automated systems, including large language models, using third-party data sources. They can be incomplete, out of date, or wrong. Atlas output is not legal, financial, or investment advice, and no result is a guarantee that a tenant will engage or lease. Verify independently before acting.

8. Your content

You retain ownership of the content you upload (addresses, brochures, photos, notes). You grant us a license to process it solely to operate and improve the Service. We may remove content that violates these Terms.

9. Intellectual property

The Service, including its software, design, and branding, belongs to Simplicity and its licensors. Map data and imagery are provided by third parties (including Mapbox and Google) and are subject to their terms.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLICITY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

12. Indemnity

You will indemnify Simplicity against claims arising from your content, your outreach, or your breach of these Terms.

13. Termination

You may delete your account at any time in Account settings. We may suspend or terminate access for breach of these Terms. Sections that by their nature should survive (5–12, 14) survive termination.

14. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Courts located in Santa Clara County, California have exclusive jurisdiction, and each party consents to personal jurisdiction there.

15. Changes

We may update these Terms. Material changes will be announced in the product or by email; continued use after the effective date constitutes acceptance.
